Lo scritto si sofferma su taluni profili relativi al nuovo articolo 135-undecies. 1 t.u.f., introdotto dalla c.d. legge capitali (l. 5 marzo 2024, n. 21), con il quale si consente alle società per azioni quotate e alle società ammesse alla negoziazione su un sistema multilaterale di negoziazione (MTF) di prevedere nel proprio statuto che “l’intervento in assemblea e l’esercizio del diritto di voto avvengano esclusivamente tramite il rappresentante designato dalla società” ex art. 135-undecies t.u.f. In particolare, l’articolo analizza i seguenti profili: l’introduzione della clausola statuaria che prevede il ricorso in via esclusiva al rappresentante designato, la possibilità di conferire, a tale soggetto anche deleghe o sub-deleghe ex art. 135-novies t.u.f. e, infine, le norme volte a coordinare il ricorso in via esclusiva al rappresentante designato con il diritto di chiedere l’integrazione dell’ordine del giorno e di presentare nuove proposte di delibera ex art. 126-bis t.u.f. e con il diritto di porre domande ex art. 127-ter t.u.f. The paper focuses on some aspects of the new article 135-undecies. 1 t.u.f., introduced by the so-called Legge Capitali (Italian law No. 21 of 5 March 2024), which allows listed companies and companies admitted to trading on a multilateral trading facility (MTF) to provide in their articles of association that the attendance at the shareholders meeting and the exercise of voting rights shall be carried out exclusively through the representative appointed by the company pursuant to article 135-undencies t.u.f. In particular, the article analyses the following profiles: the introduction of the clause in the articles of association providing for the exclusive use of the appointed representative, the possibility of also granting proxies or sub-proxies to this person pursuant to art. 135-novies t.u.f. and, finally, the rules aimed at coordinating the exclusive use of the appointed representative with the right to request the inclusion of an item on the agenda and to propose new resolutions pursuant to art. 126-bis t.u.f. and with the right to ask questions pursuant to art. 127-ter t.u.f.
