The outsourcing of banking services for credit scoring based on artificial intelligence algorithms raises significant legal and organizational issues. This paper offers a critical reassessment of the applicable regulatory framework, highlighting the need for a unified approach that considers both the contractual phase of outsourcing and the internal management of AI-ML credit scoring services. It examines the implications of such outsourcing on the main contractual profiles and on the internal structure of banking institutions, with particular focus on governance and the role of the board of directors. Specifically, it wonders whether the board retains the freedom to disregard the outcomes produced by AI systems operated by third parties under outsourcing agreements.
